These General Terms of Service (these “Terms of Service”) are between PharmaLinkage (“PharmaLinkage”, “we”, “us” and “our”) and anyone, whether on behalf of themselves or another entity (“User”, you” and “yours”) and govern your registration and/or use of our website, web application and the software made available (“PharmaLinkage Platform” or “Platform”) for the concierge services available on its platform (“PharmaLinkage’s concierge services”) or bespoke services available on its platform (“PharmaLinkage’s bespoke services”) owned or controlled by PharmaLinkage (collectively referred to as “PharmaLinkage’s Services”). By using the Services, you agree that you will not attempt to interfere with the normal operation of the platform and, in particular attempt to circumvent security, forge, tamper with, hack into, or otherwise interfere with the Platform or any of its computer system, server, website, mobile & web application, router or any other internet connected device.

In order to use the Concierge Services, you must set up an account and register on the Platform as a User (“Your Account”) to access the Platform, subject to these Terms and conditions and any other applicable agreement with us. Your registration must be valid to use the Platform.
You agree that the “Date of Commencement” of the Service would mean the date indicating the acceptance of the Application of the User for the PharmaLinkage’s Services. It shall be specified by us, in the Notice sent to the User through E-mail.
You agree that the “Date of Termination” would mean the date when your subscription to the PharmaLinkage’s Services would come to an end. It shall be specified by us in writing in the Notice sent through E-mail.
You agree that the “Registration Data” would mean the information supplied by you on the initial subscription and application, including but not limited to the User’s name, mailing address, Email address, Telephonic number. You agree that you are responsible for all the activities that occur under your Login Credentials.
We are not liable for any unauthorised use of your account and password and you are responsible for your account activities.
Once the subscription period comes to an end and the User does not renew the subscription for its account on the Platform, the corporate and the manufacturing facility, capacity and capability details uploaded on the Platform will be removed from the Platform’s Business Lounge and no longer will be available for viewing or sending an inquiry by other registered users.
The Platform provides (a) Concierge Services where you can become a Registered User and connect with other registered pharmaceutical companies involved in the manufacturing, buying, selling of pharmaceutical APIs, formulations and CDMOs, (b) Bespoke Services where the pharmaceutical companies can leverage the expertise and experience of PharmaLinkage in identifying, finalizing and monitoring suitable GMP Manufacturers, GMP Audits and Compliance and Manage technology transfer projects and many more such relevant activities.
You agree that the information and content uploaded on the Platform, such as texts, graphics, images or any other formats, are only for informational purposes and not meant to replace professional medical advise, diagnosis, treatment or to advertise any pharmaceutical product.
You agree to follow and comply with all the applicable domestic laws, rules, regulations, notifications or orders issued by the Government of India or any of its agencies from time to time in this regard including but not limited to Drugs and Cosmetic Act, 1940, Drugs and Cosmetic Rules, 1945, Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954.
You agree that we do not recommend or endorse any content, specific medicine, formulations, APIs, products, procedures, opinions, physicians, and/or any other information that may be uploaded on our platform.
You agree that that you are solely responsible for any risk arising from trusting any information on our Platform, whether it comes from users, third parties or any other visitors.
You agree that we do not offer any guarantee or warranty on any pharmaceutical products, services, video and audio clips, research articles and publications displayed or listed on our Platform. We are not responsible for any dealings between you and the User(s), including the dealings involving the sale of any restricted medicine(s) whether banned or not by any government or regulatory authority, or under the law.
We - PharmaLinkage are the original owner and the licensee of all the copyright, trademark, design rights, database rights, trade secrets shared, confidential information or any other proprietary rights (hereinafter referred together as the “Intellectual Property Rights”) of our Platform. We reserve all such rights.
You agree that you can upload, send, store and display the content or communicate on our Platform using the Concierge Services. You agree that you are responsible for your material, whether public or private, on our Platform. You also agree not to use any third party’s intellectual property or proprietary information on our Platform.
You shall retain the ownership of any intellectual property or proprietary rights over the content uploaded by you. In short, what belongs to you, stays as yours.
You shall represent and warrant that he/she, who is the owner of the Intellectual Property right, shall own all Intellectual Property rights in the content posted on the Platform and that no part of the content infringes any third-party rights.
You agree to be responsible for any damage, cost or expense caused by or related to your unauthorised use and infringement of any of the third party’s Intellectual property or any other proprietary rights.
You agree to notify us immediately upon becoming aware of the commission by any person(s) of any unauthorized use and shall provide us with reasonable assistance with any investigations we conduct in light of the information provided by you, in this respect.

If you act as an Employee or agent of a legal entity, and enter into these Terms and Conditions on their behalf, you represent and warrant that you have all the necessary rights and authorisations to bind such legal entity and to access and use the Services on behalf of such legal entity.

You agree that we will not require any user to disclose sensitive, personal and/or confidential information on our platform. You agree that we have advised you not to disclose any sensitive, personal and confidential information to the third parties on the platform. We do not collect any core biometric information. If you choose to disclose or share any biometric information, sensitive personal data or information with any other User(s) or third party, we shall accept no responsibility or liability whatsoever for these actions.

You agree that the interactions with any third-party individual including interactions done privately, payment and delivery of such services, and any other terms, conditions, warranties or representations associated with such dealings are solely between you and such third party individual.

You agree to immediately advising and informing us about any illegal and/or prohibited content appearing on our website for taking appropriate legal remedy. You agree that any search result appearing on our search engine cannot be removed and/or withdrawn immediately, as the same is done periodically, over which we have no control.
You further agree that in an event that you have a dispute with more than one user(s), the User releases us [the Company], its Directors, officers, employees, agents, management, and any person involved in the day-to-day affairs of the Company from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related, on our Platform.

However, to make any changes requested by you, any other user(s), visitors, or any other third party, we shall need a minimum of 24 to 48 working business hours to make any requisite changes.

A virtual trade show or exhibition (collectively termed as “Event”) is an online event that allows sponsors, exhibitors and attendees to showcase their products and services to potential customers and visitors, to connect, network and gather leads through a web - based platform.
We are responsible for providing and maintaining the platform, facilitating the registration and payment of the exhibitors and visitors, ensuring the quality and appropriateness of the content displayed on the platform, promoting and marketing the event, protecting the privacy and security of all the participants, and resolving any technical or operational issues that may arise.

We do not guarantee that the Event will operate continuously, securely, or without errors or interruption, and we do not accept any liability for its temporary unavailability. We do not guarantee that the Event and/or any content thereon (including, without limitation, any content available for download) will be free from viruses, Trojan horses, and/or any other code that has contaminating or destructive properties).
You agree to not attempt to interfere with the proper working of the Event (including without limitation, for example, by attempting to circumvent security or tamper with, hack into or otherwise disrupt any computer system, server, website, router or any other internet connected device).
We do not endorse or accept any responsibility for the content, or the use of, any goods or services that may be identified or described in the Event and we shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of, or reliance on, any content, goods or services available on or through the Event or any website or other resource references therein.
We reserve the right to cancel or change the date(s) of the Event at any time and for any reason (whether or not due to causes beyond our reasonable control). In the event that the date(s) of the Virtual Trade show or Exhibition is changed to new dates that are within twelve (12) months of the originally scheduled opening date of the Event, or where the Event is cancelled but is reasonably expected by PharmaLinkage to be held at any time in the next calendar year, then, unless we notify you otherwise, your registration will be deemed to be valid for the Event on the new date(s) or when it is staged (as applicable) in the same way that it would have applied to the originally scheduled Event (and no refund of any paid registration fees will be issued). Where all or part of the Event is cancelled and is not reasonably expected by PharmaLinkage to be held in the next calendar year, then your registration will no longer be deemed to be valid for the Event (or the cancelled portion of the Event, as applicable) and, at your election, any paid registration fees for the Event (or the cancelled portion of the Event, as applicable) will be refunded or a credit note issued for the same, and you will be released from paying any further amount of registration fees for the Event (or the cancelled portion of the Event, as applicable). You agree that the Service charges and Taxes are non – refundable. You agree that the personal accommodation, internet services, and any other technical requirements and accommodation done, are at your own risks and PharmaLinkage will not be liable for any costs relating to any such accommodations and arrangements, even if the Event is cancelled or moved to new date(s). You acknowledge and agree that the provisions of this paragraph set out your sole remedy in the event of cancellation or the changing of the date(s) of the Event and all other liability of PharmaLinkage is hereby expressely excluded.

The said database will be stored on servers secured behind a firewall to which the access shall be password protected and strictly limited on need-to-know basis. However, we understand that as effective the measures may be, no security system is impenetrable. You agree that we do not warrant and guarantee that the platform, servers, e-mails are virus free. You agree that we shall not be liable for any damage of any kind arising out of and from the use of this Platform, including but not limited to compensatory, direct, indirect, incidental, punitive, special and consequential damages, loss of data, goodwill, business opportunity, income or profit, loss of or damage to the property and claims.
PharmaLinkage fees for Concierge services are variable. The current pricing schedule, fees and payment options are available on the Platform. We reserve the right to change the pricing and fees at any time upon fifteen (15) days notice from us, but without your consent.
If you have chosen to upgrade to a monthly or annual payment plan, you will be billed monthly or annually starting on the day of the upgrade. You can cancel a paid plan at any time and you will not be billed again. Upon upgrading or downgrading in plan level, you will be credited pro rata for the time remaining in the current billing cycle.
You further undertake that you have investigated, on your own cost and volition, before proceeding with an online transaction with any of the User(s), Organization, Individuals, and/or the third parties.
PharmaLinkage’s bespoke service fees are custom and are determined according to every individual project.
The registered user’s account subscription will not be automatically renewed after the end of the subscription period. The registered user will have to manually renew the account subscription if they wish to continue using the services provided on our Platform.
We will notify you of the impending expiration of your account subscription by sending an Email on your registered Email address and a message to your user account, one (1) month and then fifteen (15) days before the end of the subscription period.
Any transaction for the Concierge and Bespoke services that is confirmed by PharmaLinkage is final and non-refundable.
You can cancel your subscription for our services on our Platform or by contacting our team through connect@pharmalinkage.com. Even if you cancel your subscription period, you will not be refunded the remaining amount for the rest of the period. Your subscription will not be automatically renewed after the end of the subscription period.
The failure to exercise or enforce any right or provision by us, of these Terms, shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid and/or determined to be invalid or unenforceable in whole or in part by a Hon’ble Court of competent jurisdiction, you agree that you shall endeavour to give effect to the intention reflected in the Agreement before the Hon’ble Court, and all the other provisions included in the Agreement shall remain in full force and effect.
We do not warrant, guarantee or make any representations as to its accuracy, authenticity, or completeness of any data or information contained, uploaded, transmitted, displayed on our Platform.
We provide the information on our Platform as well as the news, research articles, video and audio - clips on an “as is, where is and available” basis. You expressly agree that use of our Platform is at your own risk. We will not be held responsible and liable in any manner for the information uploaded by the User(s), third-party websites in the Concierge Services.
You are responsible for fulfilling the inquiries and orders made by other user(s). We are not responsible or liable for the quality, completeness or timeliness of any transactions, products or services on the Platform. You agree that all the information and content uploaded by the user(s) are their own and we do not take any responsibility or guarantee on it.
We do not endorse, verify or guarantee the accuracy of the user(s) credentials and business and facility information. The user(s) upload and vouch for their own information and we are not liable for it. You agree that we are not responsible for any contract or dispute between you and any other users. We shall not be required to mediate or resolve any dispute or disagreement between you and any other User(s).
We disclaim any liability, and responsibility or any other claim, whatsoever, in respect of any loss, whether direct or consequential, to you, or any other person, arising out of or in connection with the use of the information, data and/or materials contained on our Platform.
We do not make any representation, guarantee or warranty the attributes included by you on our Platform to the legal title, veracity, and/or identity, etc of any kind about the content, products, services, research, audio and video clips uploaded, offered, displayed or hosted on our Platform by the Users.

We also do not undertake any research and investigation or verify the bonafide of the information uploaded by the User(s) on our Platform. You are advised to independently verify the bonafides of any particular user that you choose to deal with on our platform. We will not be held responsible and liable in any manner for the information uploaded by the User(s), third-party websites on our Platform.
In the event of Company’s liability in relation to its bespoke services, in any and all circumstances, its liability shall be limited to the lesser of the amount of fees and/or charges paid by the User or Rs. 10,000/- (Rupees Ten Thousand only).
You admit and acknowledge that, we shall not take any responsibility or control of the information provided by you, any other User(s) and/or any other third parties, which is made available on our Platform, as the same is accepted “as is, where is and on available basis” in good faith and solely based on the representation and guarantee made by you, which we shall have no reason to disbelieve.
You are the only one who is liable and responsible for any issues related to display of the details of the company, manufacturing and facility details, features and description. We have only given you a Platform to showcase the services to other registered user(s).
You are liable for the content, information, services and/or materials you post or upload on our Platform. We are not liable or responsible for any false, harmful, inaccurate or illegal content uploaded by you or anyone else. We do not monitor the content on our Platform, but we can remove or delete any content that violates any law or the Agreement, without any reason.
You agree to have ownership, proprietary rights and intellectual property on the content, details, material uploaded or offered on our Platform. You also warrant that they comply with all the applicable laws and do not infringe any third party’s intellectual property rights.
You also agree and acknowledge that the content, information, product and services uploaded on our platform does not contain any false, libelous, defamatory, fraudulent, tortious or any other unlawful information in any manner whatsoever.
You agree that we can advise and disclaim any liability to anyone who visits or uses our Platform. We can also inform them that we are not promoting or endorsing any product, service, information and content uploaded by you or any other user. We are only hosting the content provided by you and you shall be liable for its quality, genuineness or reputation.
You agree that we are not responsible or liable for the authenticity or location of the content, information or description uploaded by any user. We only host the content provided by the user in good faith and we will not accept any liability, claims from you or anyone else for any action or omission on the part of the user, third party, and guest.
You agree to fully defend, indemnify and hold harmless us [Company] and its affiliates, representatives and managers from any claims, lawsuits, liabilities, losses, damages or injuries, of any kind whatsoever, arising from or relating to your product, content or services, or your acts, omissions, negligence, wilful misconduct, including your officers, agents, employees, contractors or subcontractors.

All the Notices to the Company should be sent by Email to connect@pharmalinkage.com or by Postal Mail to PharmaLinkage LLP, 608B, Pinnacle Business Park, Corporate Road, Prahladnagar, Ahmedabad – 380 015, India unless a different method is specified. The Notice is deemed received 24 hours after the Email is sent, unless the sender is informed that the Email address is invalid or does not exist.
You accept and acknowledge that we may, without telling you, stop, limit, delete or end your access to any or all of the Services on our Platform, and your account and everything that has been posted through your account on our Platform, will be suspended, terminated and/or deleted, if you break the Agreement, or use our Platform illegally or wrongly, or if we think you did. We may also take other steps as we see fit.
You agree and let us remove, block, delete any data, content and/or services that you put on our Platform and/or limit your Services if someone complains about you.
You agree that if you don’t fix your Suspended Services for more than 45 days, we can end your membership for good.
We may decide to let you use your suspended, terminated or deleted account our Platform and Services again on our own terms. You agree that we may ask you to pay a fee for using any of the Services on our Platform upon activation of your suspended, terminated or deleted account.
You agree and acknowledge that even if we end, terminate, delete or suspend your account, you still have to pay us any money you owe us until the date we ended, suspended, stopped or terminated your account. You agree to pay us within 30 days from that date. This doesn’t affect any other rights, claims or remedies we have.
If you want to complain or raise an issue, send us a written complaint to PharmaLinkage LLP, 608B Pinnacle Business Park, Corporate Road, Prahladnagar, Ahmedabad – 380 015, Gujarat, India or Email us on connect@pharmalinkage.com. Describe your complaint in detail, and we will try to resolve it within one month from the date of the receipt.
The Courts in Ahmedabad, Gujarat, India shall have the sole power to deal with any disputes arising from or related to any of the Services on our Platform, including how to interpret and enforce these Terms of Agreement, and what the User(s) can or can’t do. They can also grant interim or preliminary relief. These issues and questions shall be governed and decided by the Indian laws.
The party who has a legal dispute, either about the laws or facts, must write to the other party about it. The parties must try to resolve the dispute by discussion after receiving the written notice. If they fail to resolve it within fifteen (15) days of receiving the written notice, they must take the dispute to the competent courts in Ahmedabad.
This Agreement and any disputes or differences of any nature arising from or related to this Agreement or the Platform and/or the Services will be governed and decided by Indian laws. The User and the Company agree to submit to the sole and exclusive jurisdiction of the competent Courts of Ahmedabad, Gujarat, India for these disputes or differences.
You agree that the Terms of Agreement and everything else that is part of the Terms of Agreement by reference, are the whole agreement between the User and PharmaLinkage [Company]. We control how you use our Platform and Services. You agree and acknowledge that the present Agreement supersedes any prior agreement that we may have with you.
Any translation or summary of the details available or provided on the Platform is solely as a convenience and is not intended to modify the Platform, these Terms and Conditions and/or any other Policies. You agree that the English version of the Platform, these Terms and Conditions and/or any other Policies will control in the event of any conflict between the English versions of the Platform, these Terms and Conditions and/or policies and any translated versions of the same.
You acknowledge, agree and accept that the Notices we post on our Platform or send to you through your registered Email address will be effective in nature. You gave us your Email address when you subscribed for the services on our Platform and you can change your Email address by logging into your account on our Platform. We are not liable, and responsible if we cannot notify you of any updated rules, regulations, notices, notifications, publication, amended agreement because you gave us the wrong information. Your failure to exercise or enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision for us.
We may sometimes run promotions and offers on our Platform. You cannot combine any two or more promotions with each other or with any other Promotions on our Platform. You also agree that we can decide to run these promotions and offers at our own discretion.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of our Platform and the Services, must be filed within thirty (30) days. After that, you cannot file it anymore.
If any part of the Agreement is invalid, or unenforceable in the eyes of the law for the time being in force, the rest of the Agreement shall still apply.
